2. Acceptance of Terms

By accessing our website or purchasing our Services, you:

  • Confirm that you are at least 18 years old and legally capable of entering binding contracts under U.S. law.
  • Agree to comply with these Terms and all applicable federal, state, and local laws.
  • Acknowledge that all payments made are non-refundable once the project has started or digital assets have been delivered.

3. Payments and Billing

  • All payments are processed securely through Stripe or PayPal, both fully PCI DSS–compliant payment gateways.
  • Transactions are billed in U.S. Dollars (USD).
  • You agree to provide accurate billing and contact information.
  • Prime Pixel AI LLC reserves the right to refuse or cancel any order for suspected fraud or unauthorized activity.
  • All applicable taxes, duties, and transaction fees are the responsibility of the client.

4. Service Delivery

After successful payment and order confirmation, our team begins the project based on the agreed scope and timeline. Delivery dates are estimates and may vary depending on project complexity, client responsiveness, or third-party dependencies. Regular progress updates will be provided.

5. Refund and Cancellation Policy

a. Refunds

All payments made to Prime Pixel AI LLC are strictly non-refundable. Our services involve custom-built AI products, integrations, and digital systems, which are tailored exclusively to each client’s business requirements. Because each project involves unique intellectual property, development time, and deliverables, refunds or cancellations are not possible once work has begun or assets have been delivered.

Refunds will only be considered under the following exceptional circumstances:

  • Duplicate payment due to a technical error.
  • Verified fraudulent transaction not initiated by the authorized cardholder.

In such cases, the client must contact us at billing@primepixelai.com within 7 days of the transaction. Approved refunds, if any, will be processed within 10–15 business days to the original payment method.

b. Cancellation

  • Orders may be canceled within 24 hours of purchase only if no work has commenced on the project.
  • Once project development, research, or design has started, the order becomes non-cancellable.
  • Cancellation requests must be made in writing via email at support@primepixelai.com.

c. Chargebacks

Initiating a chargeback or payment dispute without prior communication will be considered a breach of contract. We reserve the right to provide proof of service delivery and pursue necessary action under U.S. law to recover chargeback losses.

6. Revisions and Post-Delivery Support

Each AI or integration project includes a 15-day revision period from the date of final delivery. During this period, clients may request reasonable adjustments, corrections, or performance improvements within the agreed scope.

Revisions do not include:

  • New features or functionality
  • Third-party integrations outside the original agreement
  • Design overhauls or expanded project scopes

After the 15-day window, any additional updates or maintenance may incur separate charges.

7. Intellectual Property Rights

  • Upon full payment, the client receives a limited, non-exclusive license to use the final deliverables for their intended business purposes.
  • Prime Pixel AI LLC retains ownership of all underlying code, frameworks, algorithms, and tools developed during the project.
  • Clients may not resell, copy, or redistribute deliverables without written consent.

8. Confidentiality

We respect the confidentiality of all information shared by clients. We will not disclose project data, credentials, or materials to any third party unless required by law or authorized in writing.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Prime Pixel AI LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use or inability to use our services.
  • Our total liability shall not exceed the total amount paid by the client for the specific service in question.
  • We do not guarantee uninterrupted operation or compatibility of our AI systems with all third-party environments.

10. Third-Party Services

Our AI and integration work may depend on external APIs, software, or hosting platforms (e.g., OpenAI, AWS, Google Cloud, Meta). We are not responsible for downtime, policy changes, or service limitations caused by these third parties. Clients must comply with any relevant third-party service terms.

11. Termination of Services

Prime Pixel AI LLC reserves the right to suspend or terminate service if:

  • A client violates these Terms or applicable law.
  • A chargeback or payment dispute is initiated.
  • Project collaboration becomes infeasible due to client inactivity or misconduct.

Termination does not entitle the client to a refund.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of NORTH CAROLINA, United States. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in NORTH CAROLINA, USA.

13. Modifications to Terms

Prime Pixel AI LLC may update these Terms from time to time to reflect legal, operational, or service-related changes. The latest version will always be available on our website with the updated "Last Revised" date. Continued use of our Services after such updates constitutes acceptance of the new Terms.
